1. Introduction

Welcome to the online platforms and services operated by Decus Technologies Ltd (“Decus,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our websites, applications, plugins, and other digital services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

2. Definitions

  • “User” — any person or organization using the Platform.
  • “Task Poster” — a User who posts a job or task.
  • “Bidder” — a User who submits a proposal or completes a task.
  • “Wallet” — a digital balance used for transactions within the Platform.
  • “Content” — any text, images, data, or materials uploaded, posted, or transmitted by Users.
  • “We,” “Us,” or “Our” — refers to Decus Technologies Ltd, the operator and owner of the Platform.

3. Acceptance of Terms

By creating an account, posting a task, submitting a bid, initiating a transaction, or otherwise using any part of the Platform, you confirm that:

  • You are at least 18 years old or the legal age of majority in your jurisdiction.
  • You have read, understood, and agreed to these Terms, as well as any policies referenced herein.
  • You will comply with all applicable laws and regulations when using the Platform.
  • If you are using the Platform on behalf of a company or organization, you have authority to bind that entity to these Terms.

4. Modifications to the Terms

Decus Technologies Ltd may update or modify these Terms at any time. When changes are made, we will revise the “Last Updated” date above. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

5. User Accounts

To access certain features, you must register an account and provide accurate, complete information. You agree to:

  • Keep your login credentials confidential and secure.
  • Be responsible for all activities that occur under your account.
  • Notify Decus promptly of any unauthorized access or suspected breach.

We reserve the right to suspend or terminate accounts that violate these Terms or exhibit fraudulent or abusive behavior.

6. User Responsibilities

You agree that you will not:

  • Post or share false, misleading, harmful, or illegal information.
  • Upload malware, spam, or other harmful code.
  • Harass, defame, abuse, or impersonate any person or entity.
  • Circumvent payment systems, fees, or security measures.
  • Probe, scan, or exploit Platform vulnerabilities for personal gain.

You are solely responsible for your actions, interactions, and Content on the Platform.

7. Platform Functionality

The Platform provides tools that enable Users to:

  • Post tasks and receive bids.
  • Communicate via in-app messaging.
  • Manage transactions through Wallets and, where applicable, escrow.
  • Participate in rewards, gamification, or loyalty programs.

Decus acts as an intermediary facilitating connections and transactions between Users. We do not employ, endorse, direct, or guarantee any User, Bidder, or Task Poster.

8. Payments, Wallets, and Fees

  • Wallet balances represent digital credits usable within the Platform only.
  • Funds may be deposited or withdrawn through approved channels (e.g., bank transfer or other supported processors), subject to verification.
  • Decus may apply processing or service fees (for example, a withdrawal fee or platform fee). Any applicable fees will be disclosed before you confirm a transaction.
  • Refunds and reversals are handled in accordance with our Refund Policy.
  • Fraud, chargebacks, or suspicious activity may result in holds, review, or account suspension.
Note: Payment providers and networks may charge their own fees. Settlement times can vary by provider and region.

9. Intellectual Property Rights

All design elements, code, features, and trademarks on the Platform are the property of Decus Technologies Ltd or its licensors and are protected by applicable intellectual property laws.

You may not copy, modify, reproduce, mirror, or redistribute any part of the Platform without our prior written consent. Users retain ownership of Content they upload but grant Decus a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display such Content for Platform operation, improvement, security, compliance, and promotional purposes (where permissible by law).

10. Dispute Resolution Between Users

Users should first try to resolve issues through direct communication using the Platform’s tools (including any built-in dispute process). While Decus may, at its discretion, assist with mediation, we do not guarantee a particular outcome. Any internal decision we make (if applicable) is final for purposes of Platform administration.

11. Refunds and Cancellations

Refunds are governed by our Refund Policy. Refunds may be issued in verified cases such as payment errors, duplicates, or confirmed service failure. Funds held in escrow are released upon mutual confirmation of completion or after administrative review consistent with Platform policies.

12. Termination of Access

Decus may suspend or terminate your access if you:

  • Breach these Terms or related policies.
  • Engage in fraud, abuse, or unlawful conduct.
  • Misuse Wallets, messaging, or Platform features.
  • Attempt to interfere with Platform security or operations.

Upon termination, access may be restricted and pending funds may be held until review is complete.

13. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. Decus disclaims liability for:

  • Technical errors, outages, or interruptions.
  • Data loss, breaches, or unauthorized access beyond our reasonable control.
  • User-generated Content or third-party services and links.

We do not warrant that the Platform will meet your requirements or be continuously available, secure, or error-free.

14. Limitation of Liability

To the maximum extent permitted by law, Decus Technologies Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of data, profits, revenue, business, or goodwill; or disputes between Users. In any event, our aggregate liability for claims relating to the Platform will not exceed the total fees paid to Decus by you during the twelve (12) months preceding the event giving rise to the claim.

Your sole remedy for dissatisfaction with the Platform is to stop using it.

15. Indemnification

You agree to indemnify, defend, and hold harmless Decus Technologies Ltd, its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Platform; or (c) your violation of any law or third-party rights.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Trinidad and Tobago. You agree that any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the courts of Trinidad and Tobago. International Users agree that Trinidad and Tobago law governs these Terms without regard to conflict-of-law rules.

18. Entire Agreement
