End-User License Agreement (EULA)
1. Introduction
This End-User License Agreement (“Agreement”) is a legal contract between you (“User,” “You,” or “Your”) and Decus Technologies Ltd (“Company,” “We,” “Us,” or “Our”), the owner and operator of related software, applications, and digital services (collectively, the “Software”).
By installing, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
2. License Grant
Decus Technologies Ltd grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Software for personal or business purposes in accordance with this Agreement; and
- Install and operate the Software on your website or device solely for its intended use within the Platform ecosystem.
This license does not transfer ownership of the Software or any associated intellectual property rights.
3. Ownership and Intellectual Property
All rights, title, and interest in the Software—including source code, designs, graphics, and trademarks—remain the exclusive property of Decus Technologies Ltd and its licensors.
- The Software is protected by copyright, trademark, and international treaties.
- You acquire no rights beyond the license expressly granted herein.
- Unauthorized copying, modification, or distribution of the Software or its components is prohibited.
4. Permitted and Prohibited Uses
You May:
- Use the Software as intended for posting, bidding, messaging, and wallet-related activities.
- Create personal or commercial tasks through the Platform in compliance with applicable terms.
- Access APIs or plugin features only as documented.
You May Not:
- Reverse-engineer, decompile, or disassemble the Software.
- Modify, copy, resell, or sublicense the Software.
- Remove or obscure copyright notices or trademarks.
- Use the Software for unlawful, abusive, or fraudulent purposes.
- Circumvent security or payment processing mechanisms.
Violations may result in license termination and legal action.
5. Updates and Upgrades
Decus may release updates, patches, or new versions of the Software. Such updates may install automatically. Continued use constitutes acceptance of the updated version and terms. We may discontinue features or versions at any time.
6. Subscription and Fees
Certain features or licenses may require payment. By purchasing a license or service, you agree to pay applicable fees under the posted pricing and billing terms. Decus may change prices or payment structures with prior notice.
7. Termination
This license remains effective until terminated. Decus Technologies Ltd may terminate immediately if you:
- Breach this Agreement or the Terms of Use;
- Engage in fraudulent or illegal activity; or
- Misuse the Software in any way.
Upon termination, you must cease all use and delete all copies of the Software. Termination does not entitle you to a refund unless stated in our Refund Policy.
8. Disclaimer of Warranties
The Software is provided “as is” and “as available.” Decus makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or accuracy/completeness of data. Use is at your own risk.
9. Limitation of Liability
To the fullest extent permitted by law, Decus Technologies Ltd is not liable for indirect, incidental, consequential, special, or punitive damages; loss of profits, revenue, data, or goodwill; or any amount exceeding the total fees you paid to Decus in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Decus Technologies Ltd, its directors, employees, and partners from any claim, loss, or damage arising from: (a) your breach of this Agreement or related policies; (b) your misuse or unauthorized modification of the Software; or (c) your violation of any law or third-party rights.
11. Data and Privacy
Your use of the Software is also governed by the Decus Technologies Ltd Privacy Policy, which explains how personal and transactional data are collected, stored, and processed. By using the Software, you consent to those data practices.
12. Governing Law and Jurisdiction
This Agreement is governed by the laws of Trinidad and Tobago. You agree that any dispute will be resolved exclusively in its courts. For international users, this Agreement applies under Trinidadian law without regard to conflict-of-law principles.
13. Entire Agreement
This EULA constitutes the entire understanding between you and Decus Technologies Ltd regarding the Software and supersedes all prior agreements or representations.
